These Terms of Use ("Terms") govern access to and use of the Redbud Way websites and applications (the "Service") operated by Redbud Way ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
The Service is intended for adults who can form a binding contract where they live. If you use the Service on behalf of a business, you represent that you have authority to bind that business. You are responsible for all activity under your account credentials.
2. The Service
Redbud Way provides tools for service providers to publish quote-related listings, manage billing quotes and related flows, and for customers to complete certain guest checkout experiences when invited by a provider. Features may change over time. We may suspend or discontinue parts of the Service with or without notice where reasonable to do so.
3. Provider responsibilities
If you are a provider, you agree that you will:
- Provide accurate information and keep your account details up to date;
- Comply with applicable laws, including tax, consumer protection, and marketing rules in your jurisdiction;
- Honor commitments you make to your customers in your listings, quotes, and communications;
- Not use the Service to deceive users, transmit malware, or engage in unlawful discrimination or harassment;
- Not attempt to reverse engineer, overload, or disrupt the Service or other users' use of it.
4. Payments and Stripe
Payment processing and payouts may be provided by Stripe, including Stripe Connect where applicable. Your use of payments features is also subject to Stripe's terms, policies, and verification requirements. We are not a bank. Balances, settlement timing, disputes, chargebacks, and network rules are governed by Stripe and card networks in addition to these Terms.
Redbud Way does not charge a platform or application fee on card checkouts. Stripe separately charges card processing fees on every card payment.
5. Guest checkout and customers
If you pay a provider through a guest link or similar flow, your payment relationship is primarily with the provider for the underlying goods or services. Redbud Way facilitates technology and payment routing as described in our policies and in-product disclosures. Support for order-specific issues may need to be directed to the provider.
6. Intellectual property
The Service, including software, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of content you submit; you grant us a license to host, process, transmit, and display that content as needed to operate and improve the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Indemnity
You will defend, indemnify, and hold harmless Redbud Way and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or possible legal exposure for us, or if we discontinue the Service. Provisions that by their nature should survive termination will survive, including Sections 6 through 12.
11. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we will provide additional notice where required by law. Your continued use after the effective date constitutes acceptance of the revised Terms.
12. General
These Terms are governed by the laws of the United States, excluding its conflict-of-law principles. Unless applicable law requires otherwise, you and we agree to submit to the personal jurisdiction of the courts located in the United States in connection with disputes arising out of these Terms or the Service. If any provision is unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.
